Overview

SeeCircles builds technology that lets people record and share short, location-based videos, broadcast and watch live streams, discover nearby content and events, find other users near them, and connect with one another. These Terms of Service (the "Terms") govern your access to and use of the SeeCircles mobile application and the other products, features, services, technologies, and software we offer (the "Products" or "Service"), except where we expressly state that separate terms apply. These Products are provided to you by SeeCircles. These Terms therefore constitute an agreement between you and SeeCircles. If you do not agree to these Terms, do not access or use the Service.

These Terms make up the entire agreement between you and SeeCircles regarding your use of the Service and supersede any prior agreements.

We do not charge you to use the basic Service, and the Service is not funded by advertising. We do not show you third-party ads, and we do not sell your personal data. Instead, the Service offers optional in-app credits/tokens and subscriptions that you can purchase (see Section 2). Our Privacy Policy explains how we collect and use your personal data to provide the Service.

1. The services we provide

Our mission is to connect people through real, location-based content. To advance this, we provide the following:

1.1 Provide a personalised experience for you: Your experience on SeeCircles is shaped by the content, live streams, and events near you and the people and creators you follow or add to My Circle. We use data such as your location (with permission), your connections, your settings, and what you share and do on the Service to personalise your experience.

1.2 Connect you with people you care about: We help you find and connect with other users — for example, by surfacing nearby users in Eye Scan, suggesting content from your My Circle, and enabling you to follow creators and interact with them.

1.3 Empower you to express yourself: There are many ways to express yourself on SeeCircles — recording and uploading videos, broadcasting live streams, commenting, and chatting with others (consistent with your settings).

1.4 Help you discover content and events that may interest you: We surface nearby content, live streams, and events on a map. Event listings are sourced from third-party providers (such as TicketMaster, SeatGeek, and NewsAPI); we do not control and are not responsible for third-party event data, and it may be inaccurate or unavailable.

1.5 Promote the safety, security, and integrity of our services: People will only build community if they feel safe. We work to maintain the security and integrity of the Service, respond to user reports, and combat harmful conduct. If we learn of violating content or conduct, we may take appropriate action, including notifying you, removing content, restricting features, disabling an account, or contacting law enforcement. We may access, preserve, use, and share information where we have a good-faith belief that it is required or permitted by law.

1.6 Use and develop advanced technologies: We use and develop technologies such as automated content verification and "confidence scoring" to assess content quality and to detect and remove abusive or dangerous activity that may harm our community or the integrity of the Service.

1.7 Research ways to make our services better: We analyse how people use the Service, and test and troubleshoot features, to develop and improve the Service.

1.8 Ensuring access to our services: To operate globally, we transfer, store, and process content and data in data centres and with service providers around the world, including outside your country of residence. This global infrastructure is necessary to provide the Service.

2. How our services are funded

The basic Service is free and is not funded by advertising. Instead, we offer optional in-app credits/tokens and subscriptions that you may purchase through Apple In-App Purchase or Google Play Billing, subject to their terms. You may also earn tokens through activity on the Service. Tokens have no monetary value, are not redeemable for cash, and are non-transferable except where the Service expressly allows token sharing. Purchases, renewals, upgrades, downgrades, cancellations, and refunds are handled in accordance with the Service's then-current rules and the applicable Apple/Google platform policies. We may change token pricing, packages, and earning rules; changes apply prospectively.

3. Your commitments to SeeCircles and our community

In exchange for access to the Service, we need you to make the following commitments.

3.1 Who can use SeeCircles

You must:

• Provide accurate information about yourself and the name you use in everyday life.
• Create only one account (your own) and use it for personal purposes.
• Not share your password, give others access to your account, or transfer your account without our permission.

You cannot use SeeCircles if you:

• Are a convicted sex offender.
• Have had your account previously disabled for violations of these Terms or our policies.
• Are prohibited from receiving our products, services, or software under applicable law.

3.2 What you can share and do on SeeCircles

You may not use the Service to do or share anything:

• That violates these Terms or our content/community policies.
• That is unlawful, misleading, discriminatory, or fraudulent.
• That you do not own or have the necessary rights to share.
• That infringes or violates someone else's rights, including intellectual property or privacy rights — including recording or broadcasting individuals without appropriate consent where required.
• That is hateful, harassing, threatening, sexually explicit, exploits minors, or promotes violence or self-harm.

You also may not:

• Upload viruses or malicious code, send spam, or otherwise interfere with or impair the proper working of the Service.
• Access or collect data from the Service using automated means without our permission, or access data you do not have permission to access.
• Collect or misappropriate other users' usernames, passwords, or access tokens.
• Sell, license, or purchase any data obtained from the Service.
• Misuse any reporting, flagging, dispute, or appeals channel.
• Circumvent or bypass any technological measures we use to control access to the Service, or manipulate the credits/token system.

Live streaming and restricted events: when you broadcast a live stream, your location is shared in real time for the duration of the stream. For certain events, live streaming is restricted (for example, for rights, security, or privacy reasons). SeeCircles alerts and notifies you that live streaming is not permitted for restricted events and prevents you from starting a live stream within a restricted event zone; a stream that enters such a zone may be stopped automatically. You agree to comply with these alerts and with any venue, organizer, or legal restrictions at your location.

We can remove or restrict access to content that violates these provisions, and may suspend or disable your account for such conduct, as provided in Section 4.2. Where we remove content you shared, we will let you know and explain any review options, unless doing so could expose us or others to legal liability, harm our community, compromise the integrity of the Service, or is restricted for legal/technical reasons.

3.3 The permissions you give us

Your content: You retain ownership of the intellectual property rights in the content you create and share. Nothing in these Terms takes away your rights to your own content.

Licence to use your content: When you share, post, or upload content on the Service, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide licence to host, use, distribute, modify, run, copy, publicly perform or display, and create derivative works of your content — solely to operate, provide, and improve the Service as described in Section 1 (for example, displaying your video on the map and transmitting your live stream to viewers, consistent with your settings). This licence ends when your content is deleted from our systems.

Deleting your content: You can delete content you have shared at any time, and all content on your account is deleted if you delete your account. After deletion begins, it may take a reasonable period to remove content from active systems and backups. Content may be retained beyond that where others have used it under this licence and not deleted it, where technical limitations apply, or where retention is necessary to investigate violations, protect safety and security, comply with legal obligations, or respond to a lawful request — retained only as long as necessary.

Name and profile picture: You permit us to use your username and profile photo in connection with your content and interactions on the Service.

Software updates: If you download or use our software, you give us permission to download and install updates where available.

3.4 Limits on using our intellectual property If you use content covered by intellectual property rights that we make available in the Service (such as our images, designs, icons, or sounds), we retain all rights to that content. You may use our trademarks, logos, and copyrights only as expressly permitted by us or with our prior written permission. You must obtain our written permission to modify, translate, reverse-engineer, or extract source code from our Products, unless an exception applies under law. We reserve all rights not expressly granted.

4. Additional provisions

4.1 Updating our Terms We may update these Terms from time to time to reflect our services and practices, to promote a safe and secure experience, or to comply with applicable law. We will notify you (for example, by email or within the Service) at least 30 days before changes take effect, unless changes are required by law, and give you an opportunity to review them. If you continue to use the Service after the updated Terms take effect, you are bound by them. If you do not agree, you can delete your account and stop using the Service.

4.2 Account suspension or termination If we determine that you have clearly, seriously, or repeatedly breached these Terms or our policies, we may suspend or permanently disable your access and may disable or delete your account. We may also disable or delete accounts that are unconfirmed, remain inactive for an extended period, or that we believe were used without authorization. Where we take such action, we will let you know and explain any review options, unless doing so could expose us or others to legal liability, harm our community, compromise the integrity of the Service, or is restricted for legal/technical reasons.

If you or we delete your account, or this agreement is otherwise terminated, these Terms terminate except for the following, which survive: Section 3, and Sections 4.2–4.5.

4.3 Limits on liability The Service is provided "as is," and to the extent permitted by law we make no guarantees that it will always be safe, secure, or error-free, or that it will function without disruptions, delays, or imperfections. To the extent permitted by law, we DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control what users do or say and are not responsible for their actions, conduct, or content (including objectionable content). To the fullest extent permitted by law, we will not be liable for any lost profits, revenues, data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or the Service. [Optional liability cap: "Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or [amount]."]

4.4 Miscellaneous

• Supplemental terms: Some features are governed by supplemental or feature-specific terms made available within the Service; where they conflict with these Terms, the supplemental terms govern to the extent of the conflict. Purchases are additionally subject to Apple and Google platform terms.
• Severability: If any portion of these Terms is unenforceable, it will be amended to the minimum extent necessary or severed, and the remainder stays in effect. Our failure to enforce any provision is not a waiver.
• No transfer: You may not transfer your rights or obligations under these Terms without our consent.
• No third-party beneficiaries / assignment: These Terms confer no third-party beneficiary rights. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets, or by operation of law.
• Username change: We may change your account username in certain circumstances (for example, if it appears unrelated to the name you use in everyday life or another party has a legitimate claim).
• Feedback: We may use feedback and suggestions you provide without restriction or obligation to compensate you.

5. Other terms and policies that may apply to you

• Community / Content Standards: standards for the content you post and your activity on the Service.
• Live streaming policies: policies that apply to content you broadcast live, including restricted-event rules.
• Privacy Policy: how we collect, use, and share your information.
• Platform purchase terms: Apple App Store / Google Play terms that apply to purchases of tokens and subscriptions.
